MARKETING AFFILIATE AGREEMENT

Upon acceptance of this application by GoDiscounts LLC (hereafter referred as "GoDiscounts"), this application becomes a binding legal agreement (hereafter referred as the "Agreement") and the Applicant (hereafter refers as "Marketing Affiliate") will become an authorized GoDiscounts Marketing Affiliate.

1) I understand and agree that by electronically clicking I Accept, I acknowledge that my sponsor's enter in the registration form is my official sponsor of record.

2) I understand and agree that I am an independent contractor and not an employee of GoDiscounts for any purpose including, but not limited to, federal state and local taxes. I am responsible for expenses incurred by my business, including sales tax, income tax and self-employment tax. GoDiscounts does not provide me with Worker's Compensation insurance, unemployment compensation or any other employee-type benefit.

3) I understand and agree that as a GoDiscounts Marketing Affiliate, I am entitled to all the benefits of the position in accordance with the policies and procedures of GoDiscounts as they are modified and published from time to time in any company authorized publications.

4) I acknowledge and agree that no registration fee is charged to me in order to become a GoDiscounts Marketing Affiliate. I also acknowledge and agree that I have no obligation to purchase any product to participate in the GoDiscounts Marketing Affiliate program. I also acknowledge and agree that I am not required to maintain inventory. I acknowledge and agree that Qualifications must be met to receive commissions at each level as per GoDiscounts Compensation Plan.

5) I understand that I am entitled to cancel my participation as a GoDiscounts Marketing Affiliate with GoDiscounts at any time and for any reason upon notice to the company.

6) I understand and agree that I will apply my best efforts toward the promotion and sales of GoDiscounts products and the GoDiscounts opportunity. I will promote the GoDiscounts name in a manner favorable to me and to GoDiscounts. I understand and agree that I am free to sell GoDiscounts products and sponsor GoDiscounts Marketing Affiliates anywhere in the continental United States and Canada.

7) I understand and agree that I will present GoDiscounts products in accordance with the product descriptions in any company-authorized publications. I will not misrepresent or minimize information on safe and proper use of any and all GoDiscounts products. I will present the GoDiscounts Compensation Plan in accordance with the descriptions and guidelines set forth in any company authorized publications.

8) I understand and agree that I will comply with the GoDiscounts policies and procedures as set forth in any company-authorized publications as modified and published from time to time. I will comply with the GoDiscounts trademark, telephone listing and advertising guidelines and use the name, trademarks and logo of GoDiscounts only as specifically authorized.

9) I understand and agree that I cannot have more than one position or that I cannot have interest in more than one position in the Marketing Affiliate program. I understand and agree that I cannot have a second position through a corporation or any other structures or name in the Marketing Affiliate program. I also understand and agree that any such second participation or interest will allow GoDiscounts to cancel my participation in the program.

10) I understand and agree that I am solely responsible for the maintenance of my account with GoDiscounts and will remit all payments due in a timely fashion. Should my account go to collections, I am solely responsible for any legal fees incurred by GoDiscounts in the collection of my account.

11) I understand and agree that GoDiscounts is dedicated to the growth and success of each GoDiscounts Marketing Affiliate's business and will not arbitrarily terminate this GoDiscounts Marketing Affiliate Agreement. However, GoDiscounts does reserve the right to terminate this Agreement at any time, if I misrepresent GoDiscounts program, GoDiscounts products by making claims contrary to the authorized product literature, or discrediting the GoDiscounts name, or failing to comply with any clause of the Agreement, or failing to comply with any published GoDiscounts policy or procedure, or for any other cause. Only GoDiscounts and I may terminate this Agreement.

12) I understand and agree that GoDiscounts Marketing Affiliates shall not sell non-company products to other GoDiscounts Marketing Affiliates or in any way promote to GoDiscounts advisors opportunities in marketing programs of other companies, except with prior written approval from GoDiscounts. In addition, I agree that for a period of one year after termination from GoDiscounts, I shall not directly or indirectly solicit affiliates or customers of GoDiscounts or otherwise engage directly or indirectly in raiding activities with respect to advisors and customers of GoDiscounts.

13) I understand and agree that a GoDiscounts replicated web site will be maintained for me with my exclusive web address. I Agree that Commissions are earned by me when they reach a minimum of $10 per month. I understand and agree to have GoDiscounts deduct from my commission any amount from $0.01 to $9.99 from my revenues in any payment period when my revenues are less than $10 in a month. I agree and GoDiscounts agrees to only deduct from revenues generated by the program and not charge me "out of pocket" any amount associated with this application.

14) I understand and agree that to receive commissions from Go Discounts I must provide my address and a valid USA or Canadian SSN as required by the IRS or Revenue Canada.

15) I understand and agree that the terms and conditions of the Agreement take precedence over any other presentations made to me by other parties.

16) I understand and agree that this Agreement shall be governed by the laws of the State of Florida, any disputes or actions shall be brought in the County of Miami-Dade County in the State of Florida. Should any provision herein be deemed unenforceable, the remainder of this agreement shall remain in effect. I certify that I am at least 18 years of age and am a permanent resident of the United States or Canada with a valid USA or Canadian SSN.

17) I understand and agree that this Agreement shall be void if assigned or transferred by me.

18) I understand and agree that by electronically clicking I Accept, I acknowledge and I agree to this Agreement.
